Terms of Service
Last updated: September 2026
1. Scope of work
Direct Vision Studios ("the Studio") provides creative and software services including photography, graphic design, web design and development, marketing services, hosting, and maintenance ("Services").
Each engagement is defined by a written scope of work, proposal, or intake confirmation agreed between the Studio and the client ("Client"). Work outside the agreed scope is billed separately or declined at the Studio's discretion.
2. Payment terms
All fees are quoted in USD. Unless otherwise agreed in writing, project fees are split into a deposit due before work begins and milestone payments due as milestones are delivered.
Invoices are due within seven (7) days of issuance unless the scope of work states otherwise. Late payments may pause active work until the balance is current.
3. Card-on-file authorization
Before any design or editing work begins, the Client must save a valid payment method on file through the Studio's secure payment processor (Stripe).
By saving a card on file, the Client authorizes Direct Vision Studios to charge that payment method for invoices issued under the agreed scope of work, including project fees, hosting and care-plan renewals, and approved additional work. The Client may update or replace the card on file at any time through the client portal.
No design or editing work begins until a valid card is on file. Projects remain in "awaiting payment method" status until this requirement is satisfied.
4. Revision policy
Each milestone includes a reasonable number of revision rounds as stated in the scope of work. Revision requests must be submitted in writing through the client portal.
Revisions that change the agreed scope — new pages, new features, or a change in creative direction after approval — are treated as additional work and quoted separately.
5. Cancellation
The Client may cancel an engagement in writing at any time. Fees for work completed through the cancellation date are non-refundable. Deposits are non-refundable once design or development work has begun.
The Studio may cancel an engagement for non-payment, abusive conduct, or failure to provide required materials after reasonable notice, with the same payment obligations applying to completed work.
6. Intellectual property
Upon receipt of final payment in full, the Client owns the final deliverables created for the engagement (designs, website code, and artwork), excluding third-party assets, stock media, fonts, and the Studio's pre-existing tools, libraries, and processes, which remain the property of their respective owners.
Until final payment is received, all work product remains the property of the Studio. The Studio may display completed work in its portfolio unless the Client requests otherwise in writing before launch.
7. Warranties and limitations
The Studio warrants that Services will be performed with professional skill and care. Except as expressly stated, Services are provided "as is" without additional warranties.
To the maximum extent permitted by law, the Studio's total liability for any engagement is limited to the fees paid for that engagement. The Studio is not liable for indirect, incidental, or consequential damages, including lost profits or business interruption.
8. Governing terms
These terms are governed by the laws of the State of California. Disputes will first be addressed through good-faith negotiation.
The Studio may update these terms from time to time; the version in effect at the start of an engagement applies to that engagement.
